- Investor can lodge complaint/grievance against Research Analyst in the following ways:

- In case of any grievance / complaint, an investor may approach the concerned Research Analyst who shall strive to redress the grievance immediately, but not later than 21 days of the receipt of the grievance.

- Pay your Research Analyst through banking channels only and maintain duly signed receipts mentioning the details of your payments. You may make payment of fees through Centralized Fee Collection Mechanism (CeFCoM) of RAASB if research analyst has opted for the mechanism. (Applicable for fee paying clients only)
- Before buying/ selling securities or applying in public offer, check for the research recommendation provided by your Research Analyst.
- Ask all relevant questions and clear your doubts with your Research Analyst before acting on recommendation.
- Seek clarifications and guidance on research recommendations from your Research Analyst, especially if it involves complex and high risk financial products and services.
- Always be aware that you have the right to stop availing the service of a Research Analyst as per the terms of service agreed between you and your Research Analyst.
- Always be aware that you have the right to provide feedback to your Research Analyst in respect of the services received.
- Always be aware that you will not be bound by any clause, prescribed by the research analyst, which is contravening any regulatory provisions.
- Inform SEBI about Research Analyst offering assured or guaranteed returns.
- Don’ts
- Do not provide funds for investment to the Research Analyst.
- Don’t fall prey to luring advertisements or market rumours
- Do not get attracted to limited period discount or other incentive, gifts, etc. offered by Research Analyst.
- Do not share login credential and password of your trading, demat or bank accounts with the Research Analyst.
B. Most Important Terms and Conditions (MITC)
[Forming part of the Terms and Conditions for providing research services]
- These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of, the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.
- The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/ Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients). Note:
- The current fee limit is Rs 1,51,000/- per annum per family of client for all research services of the RA.
- The fee limit does not include statutory charges.
- The fee limits do not apply to a non-individual client / accredited investor.
- RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one year. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.
- Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).
- The RA is required to abide by the applicable regulations/ circulars/ directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavour to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.
- Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.
- The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA’s research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/ publication of research report.
- Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client’s own judgement and assessment of the conclusions contained in the research report.
- The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.
- For any grievances,
- Step 1: the client should first contact the RA using the details on its website or following contact details: (RA to provide details as per ‘Grievance Redressal / Escalation Matrix’)
- Step 2: If the resolution is unsatisfactory, the client can also lodge grievances through SEBI’s SCORES platform at www.scores.sebi.gov.in
- Step 3: The client may also consider the Online Dispute Resolution (ODR) through the Smart ODR portal at https://smartodr.in
- Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.
- The RA shall never ask for the client’s login credentials and OTPs for the client’s Trading Account Demat Account and Bank Account. Never share such information with anyone including RA.

These Terms & Conditions (“Terms”) govern the access to and use of research services provided by Anand Rawani, a SEBI-registered Part-time Research Analyst (Registration No. INH000022039) (“Research Analyst”, “we”, “us”, or “our”). By subscribing to, accessing, or using any of our services, you (“Subscriber” or “Client”) agree to be bound by these Terms.
- Definitions
- Research Services: Includes research reports, newsletters, model portfolios, and any analytical content published by the Research Analyst.
- Subscriber/Client: Any individual or entity who subscribes to or uses the Research Services.
- Website: MoatLane.com, domain name owned by the Research Analyst.
- Reports: Research notes, analysis, model portfolios, and other publications issued by the Research Analyst.
- Subscription Period: The duration for which the subscription fee is paid.
- MITC: Most Important Terms & Conditions, a separate document summarizing key subscription terms.
- Eligibility
- Subscribers must be at least 18 years old and competent to contract under law.
- Services are intended for personal use by individual investors, unless expressly authorized for institutional or corporate use.
- Obligation on RA
- RA and client shall be bound by SEBI Act and all the applicable rules and regulations of SEBI, including the RA Regulations and relevant notifications of the Government, as may be in force, from time to time.
- Client Information and KYC
- The client shall furnish all such details in full as may be required by the RA in its standard form with supporting details, if required, as may be made mandatory by RAASB/SEBI from time to time. RA shall collect, store, upload and check KYC records of the clients with KYC Registration Agency (KRA) as specified by SEBI from time to time.
- Nature of Services
- Research Services are general investment research and not personalized investment advice tailored to your objectives, risk profile, or financial situation.
- The Research Analyst is not a portfolio manager, broker, or investment advisor and does not execute trades on your behalf.
- Research is based on publicly available information and internal analysis; accuracy or completeness is not guaranteed.
- Risk Disclosure
- Investments in securities are subject to market risks, economic conditions, and other uncertainties.
- Past performance is not indicative of future results.
- Subscribers are solely responsible for their investment decisions and the associated outcomes.
- The Research Analyst, and associated entities are not liable for investment losses resulting from the use of the research.
- Subscription, Fees, and Renewal
- Subscription fees are payable in advance and may cover a period of up to one year, as permitted under SEBI regulations.
- Fees are non-refundable and non-transferable.
- Subscription expires at the end of the paid period; renewal is required to continue access.
- The Research Analyst may revise fees periodically with notice; continued use constitutes acceptance.
- Refund & Cancellation Policy
- The Research Analyst follows a zero-refund policy for all subscriptions.
- Upon cancellation, access to reports already published will continue until the end of the subscription period; no further reports will be issued.
- Intellectual Property Rights
- All research reports, newsletters, graphics, model portfolios, and website content are the exclusive property of the Research Analyst.
- Unauthorized copying, redistribution, resale, or commercial use is strictly prohibited.
- Subscriber Obligations
- Subscribers must not share login credentials or redistribute paid content.
- Any misuse or breach of these Terms may lead to suspension or termination of the subscription without refund.
- Subscribers confirm they have read the disclaimer and understand that research is for informational purposes only.
- Electronic Delivery & Access
- Research reports are delivered electronically via email or secure web portal.
- Subscribers are responsible for maintaining access, including internet connectivity and device compatibility.
- Technical failures or access issues do not entitle subscribers to refunds.
- Disclosures & Conflicts of Interest
- The Research Analyst may hold positions in securities mentioned in reports; all holdings and conflicts are disclosed in each report as required under SEBI Regulations.
- Subscribers are encouraged to review disclosures before making investment decisions.
- Recordkeeping
- All communications, subscription records, and research reports are maintained for at least five years, in compliance with SEBI RA Regulations.
- Data Privacy
- Subscriber information is handled in accordance with the Privacy Policy.
- Data may be used to provide research services and for regulatory compliance but is not shared with third parties except as required by law.
- Limitation of Liability
The Research Analyst shall not be liable for:- Losses arising from investment decisions based on research.
- Technical failures, website downtime, or interruptions.
- Delays or errors in communication or reporting.
- Liability is limited to the subscription fee paid.

- Termination of Services
- The Research Analyst may terminate subscriptions for misuse, regulatory violations, or breach of Terms.
- No refund will be issued on termination.
- Modification of Terms
- The Research Analyst may amend these Terms at any time.
- Material changes will be notified to subscribers via email; updated Terms will also be published on the website and take effect immediately.
- Continued use constitutes acceptance of the changes.
- Accessibility & Technical Requirements
- Subscribers must ensure compatible devices, browsers, and internet connectivity to access research reports and website content.
- Governing Law & Jurisdiction
- These Terms are governed by the laws of India.
- All disputes shall be subject to the exclusive jurisdiction of courts in Ghaziabad, Uttar Pradesh, and proceedings will be conducted in English.

- Anand Rawani is employed as Senior Analyst with Horizon Market Research Private Limited, a subsidiary of Teton Advisors, Inc. Teton Advisors, LLC and Keeley-Teton Advisors, LLC are wholly owned subsidiaries of Teton Advisors, Inc. In this role, he is responsible for leading the firm’s sustainability initiatives and risk management functions.
- He also serves as Director at VernoHR Tech Private Limited, providing oversight and advisory support on finance and accounting matters. He owns a 75% stake in VernoHR Tech Private Limited and the remaining 25% is owned by his family members.
